TERMS &

1. Definitions

• RipzClub, we, us, our means RipzClub Pty Ltd (ABN 34 690 969 290), a company registered in New South Wales, Australia.
• You, your, User means anyone using the site, purchasing Products, trading or storing cards and collectibles, or otherwise engaging with our services.
• Products means all goods and services sold or facilitated by RipzClub, including without limitation: (a) Digital Ripz Packs; (b) Physical Sealed Repacks; (c) Sealed Retail Products; (d) Raw Cards and Raw Collectibles; (e) Doggy Bags; (f) Oripa Packs; and (g) any other product or service listed on the Platform from time to time.
• Digital Ripz Pack means a digital mystery pack experience offered through the Platform in which a user receives a randomised outcome of graded or raw collectibles.
• Physical Sealed Repack means a professionally curated physical repack product supplied by RipzClub, including PSA-verified repacks supplied to streamers and third-party resellers.
• Sealed Retail Product means any factory-sealed collectible product sold by RipzClub in its original manufacturer packaging, including trading card games and related products.
• Raw Card or Raw Collectible means any ungraded collectible card or item sold individually or as part of a pack, Doggy Bag, or bundle.
• Vault means your secure digital storage of slabs and cards on RipzClub.
• Wallet means your RipzClub account balance utilised for transactions or withdrawals.
• Platform means the RipzClub website, application, and all associated digital services.
• Prohibited Conduct has the meaning given in clause 5A.
• Acceptable Use Policy has the meaning given in clause 12A.

2. Eligibility

• You must be at least 18 years old.
• You must have legal capacity to enter into contracts.
• You agree to provide accurate and up‑to‑date information when you register or make a purchase.

3. Acceptance of Terms

• By registering an account, purchasing, or using any RipzClub service, you accept these Terms.
• You must agree to these Terms before completing any purchase or transaction.

4. Account Security

• You are responsible for keeping your account credentials safe.
• You must notify us immediately if you suspect unauthorised access or misuse of your account.
• Each user is permitted to hold one account only. The creation of multiple accounts for any purpose, including to circumvent restrictions or exploit promotions, is strictly prohibited.
• Account credentials must not be shared with or used by any other person.

5. Product Descriptions

This clause applies to all Products sold or facilitated by RipzClub.

5.1 General

• All Products are described accurately to the best of our ability.
• Images and descriptions are indicative; minor variations may occur (e.g. card condition, slab serial number, lighting, or pack contents).
• RipzClub reserves the right to substitute Products of equal or greater value where a specific item is unavailable, and will notify the user where this occurs.

5.2 Digital Ripz Packs

• Digital Ripz Packs provide a randomised collectible outcome. Odds and pack configurations are disclosed on the relevant pack page.
• The outcome of a Digital Ripz Pack is determined at the time of opening and cannot be reversed, exchanged, or refunded except as required by Australian Consumer Law.
• RipzClub does not guarantee any specific card, value, or outcome from a Digital Ripz Pack.

5.3 Physical Sealed Repacks

• Physical Sealed Repacks are professionally curated by RipzClub and, where stated, are PSA-verified.
• Repack contents are assembled from authenticated stock. RipzClub does not guarantee any specific card or minimum value.
• Repacks supplied to streamers or third-party resellers are governed by the applicable B2B terms agreed at the time of supply.

5.4 Sealed Retail Products

• Sealed Retail Products are sold in original manufacturer packaging and are sourced through legitimate supply channels.
• RipzClub does not guarantee pack contents of sealed retail products, as these are determined by the manufacturer.
• All graded slabs are processed through our partner CardAgain. Grading assessments are the opinion of the grading body and are not guaranteed by RipzClub.

5.5 Raw Cards and Raw Collectibles

• Raw cards and collectibles are sold ungraded unless explicitly stated otherwise.
• Condition descriptions are provided in good faith and reflect RipzClub's assessment at the time of listing.
• Users are encouraged to review all available images and descriptions prior to purchase, as raw card sales are generally final subject to Australian Consumer Law.

5A. Prohibited Conduct and Platform Integrity

RipzClub operates a digital platform that depends on the integrity of its systems and the good faith of its users. The following conduct is strictly prohibited:

5A.1 Exploitation and Manipulation

• You must not exploit, manipulate, or take advantage of any error, vulnerability, bug, misconfiguration, or unintended behaviour in the Platform, including but not limited to pricing errors, pack mechanics, Wallet credits, or outcome algorithms.
• You must not use any automated tool, script, bot, macro, or software to interact with the Platform in a manner not intended for ordinary human users.
• You must not reverse-engineer, probe, or test the Platform's systems, APIs, or infrastructure without prior written authorisation from RipzClub.
• You must not attempt to predict, manipulate, or influence pack outcomes through any technical or algorithmic means.

5A.2 Fraudulent Activity

• You must not engage in any conduct that is fraudulent, deceptive, or dishonest in connection with your use of the Platform.
• You must not use the Platform to launder funds, conduct unauthorised transactions, or facilitate any activity that is unlawful under Australian law.
• You must not engage in chargebacks, payment reversals, or dispute processes in bad faith where you have received the goods or services purchased.

5A.3 Unauthorised Advantage

• You must not knowingly receive any benefit, credit, or advantage arising from a system error, exploit, or unintended Platform behaviour.
• Where you become aware that you have received such a benefit, you must notify RipzClub immediately at support@ripzclub.com and must not use, withdraw, or transfer those funds or items.

A breach of any provision of this clause 5A constitutes a material breach of these Terms and may constitute fraud or a criminal offence under applicable Australian law.

5B. Consequences of Prohibited Conduct

5B.1 Account Suspension and Permanent Ban

• Where RipzClub reasonably suspects or determines that a user has engaged in Prohibited Conduct, we may immediately and without prior notice suspend or permanently terminate that user's account.
• On permanent termination, access to all Platform features, the Vault, and the Wallet will be revoked.
• In the case of termination for Prohibited Conduct, any Wallet balance or stored value may be frozen pending investigation and may be forfeited where losses to RipzClub are established.

5B.2 No Refunds

• Where an account is suspended or terminated due to Prohibited Conduct, no refund will be payable in respect of any purchases, Wallet balance, pack credits, or stored items.
• This exclusion applies regardless of whether the Prohibited Conduct was intentional, negligent, or reckless.

5B.3 Recovery of Losses

• Where Prohibited Conduct causes financial loss to RipzClub, we reserve the right to demand repayment of the full value of any benefit received by the user as a result of that conduct.
• RipzClub may set off any amounts owed by a user against any Wallet balance or credits held in that user's account.
• We reserve the right to pursue recovery of losses through civil proceedings in the courts of New South Wales, Australia, including claims for damages, equitable relief, and recovery of legal costs.

5B.4 Reporting to Authorities

• Where RipzClub determines that Prohibited Conduct may constitute fraud, computer misuse, or any other criminal offence under Australian law, we reserve the right to report that conduct to the relevant law enforcement authorities and to cooperate fully with any investigation.
• Relevant legislation may include, without limitation, the Criminal Code Act 1995 (Cth), the Crimes Act 1900 (NSW), and the Australian Consumer Law.

6. Ordering, Payment & Pricing

• Payments must be made in full at the time of purchase.
• Accepted payment methods are those listed on the website.
• All prices are in AUD and include applicable GST or taxes if required.
• We reserve the right to change prices, but changes will not affect orders already confirmed.
• RipzClub reserves the right to cancel and refund any order where a pricing error has occurred as a result of a system error or exploit, irrespective of whether the transaction has been confirmed.

7. Consumer Guarantees & Returns

• Where applicable, consumer guarantees under the Australian Consumer Law (ACL) apply (goods must be of acceptable quality, fit for purpose, match description).
• If a slab is faulty, mis-graded, significantly damaged in transit, or not as described, you may seek remedies (repair, replacement, refund) under ACL.
• We do not provide returns or refunds for change of mind or buyer's remorse.
• Refunds and remedies under this clause are not available where the relevant purchase arose from or was associated with Prohibited Conduct as defined in clause 5A.

8. Vault & Wallet

• Slabs can be stored in your Vault until you choose to ship or trade them.
• Wallet funds may be used for purchases, transaction fees, withdrawals, or for resale transactions.
• Withdrawal of funds is subject to verification requirements and minimum threshold.
• RipzClub reserves the right to freeze Wallet funds and delay withdrawals where there is a reasonable suspicion of Prohibited Conduct pending investigation.

9. Peer‑to‑Peer Sales

• P2P sales are governed by our Peer‑to‑Peer Selling Terms.
• Sellers must own the slab, it must be in their Vault, and must be accurately described.
• RipzClub is a platform facilitating P2P transactions; responsibility for listings lies with the seller.

10. Shipping, Delivery & Risk

• Shipping options, costs, and insurance are as described in our Shipping Policy.
• Risk of loss or damage to slabs passes to you once the slab is dispatched.
• You are responsible for correct delivery address; we are not liable for error if address is incorrect.

11. Liability & Indemnity

• To the maximum extent permitted by law, RipzClub's liability for any claim is limited to the purchase price of the affected slab or Ripz Pack.
• RipzClub is not liable for indirect, incidental, consequential, or special losses.
• You agree to indemnify RipzClub against any claim, loss, damage, cost, or expense (including legal costs on a full indemnity basis) arising from your Prohibited Conduct, misuse of the Platform, violation of these Terms, or breach of any applicable law.
• RipzClub expressly excludes all liability arising from losses caused by Prohibited Conduct, including where such conduct exploited a system error, vulnerability, or unintended Platform behaviour.

12. Intellectual Property

• All content on RipzClub (text, graphics, logos, slab images, layout) is owned by or licensed to us.
• You may not reproduce or use our intellectual property for commercial purposes without written permission.

12A. Acceptable Use Policy

This Acceptable Use Policy sets out the standards of conduct expected of all users when accessing or using the Platform and any Products. By using RipzClub, you agree to comply with this policy.

12A.1 Permitted Use

• You may use the Platform to browse, purchase, and engage with Products for personal, non-commercial purposes.
• You may use the Platform to participate in peer-to-peer sales of items held in your Vault, subject to the Peer-to-Peer Selling Terms.
• You may share content from the Platform on social media for personal, non-commercial purposes, provided that appropriate attribution to RipzClub is included.

12A.2 Prohibited Use

• You must not use the Platform for any unlawful purpose or in any manner that violates these Terms.
• You must not resell, redistribute, or commercially exploit any Products, content, or data obtained from the Platform without prior written consent from RipzClub.
• You must not use the Platform to engage in harassment, abuse, or offensive conduct toward other users or RipzClub staff.
• You must not post, upload, or transmit any content that is defamatory, offensive, misleading, or infringes the intellectual property of any third party.
• You must not use the Platform in any way that could damage, overload, or impair its functionality, security, or availability.
• You must not scrape, crawl, or systematically extract data from the Platform without prior written authorisation.

12A.3 RipzClub Content

• All trademarks, branding, logos, product names, and content on the Platform are the property of RipzClub or its licensors.
• You may not use RipzClub's name, logo, or branding in any way that implies endorsement, affiliation, or partnership without prior written consent.
• Fair dealing with RipzClub content is permitted for the purposes of criticism, review, or reporting as permitted under the Copyright Act 1968 (Cth), provided that the source is attributed.

12A.4 Third-Party Content

• The Platform may display content owned by third parties, including card manufacturers and grading bodies. Such content remains the property of its respective owner.
• RipzClub does not grant any licence to use third-party content beyond what is necessary to enjoy the Platform's services.

A breach of this Acceptable Use Policy constitutes a breach of these Terms and may result in account suspension or termination in accordance with clause 13.

13. Termination & Suspension

• We may suspend or terminate your account if you breach these Terms.
• We reserve the right to refuse service, cancel orders, or remove content at our discretion.
• Where termination is due to Prohibited Conduct, the consequences set out in clause 5B apply in addition to any other remedies available to RipzClub.

14. Governing Law & Jurisdiction

• These Terms are governed by the laws of the State of New South Wales, Australia.
• Disputes will be subject to the non-exclusive jurisdiction of the courts of New South Wales.
• RipzClub may elect to pursue any claim in any court of competent jurisdiction, including in respect of cross-border or online fraud.

15. Changes to Terms

• RipzClub may update these Terms from time to time.
• We will publish updates on our website and notify users if changes are material.
• Continued use of RipzClub after updates constitutes acceptance of the revised Terms.
